You are responsible for all usage or activity on Careplans.com. Any fraudulent, abusive, or otherwise illegal activity may be grounds for immediate termination of your online subscription and Robintek may refer you to appropriate law enforcement agencies. Fees and payments. Robintek reserves the right to charge fees for access to any of its online publications including Careplans.com. In no event will you be charged for access to any of these publications, including Careplans.com, unless we obtain your prior agreement to pay such charges. You shall pay all fees and charges incurred through your account at the time of registration at the rates in effect for the billing period in which such fees and charges are incurred. You shall pay all applicable taxes relating to the use of our site through your account. All returned credit card charges incur a $20 return handling fee. Termination. You may terminate your account at any time by communicating with Robintek at info@careplans.com. Upon notification, your access will be suspended within 24 hours. You are responsible for all charges incurred up to the time the account is terminated. Exercising its sole discretion, Robintek may terminate or suspend your access to all or part of the web site for any reason without limitation, breach, or assignment of this Agreement. Miscellaneous. This Agreement is made, construed, and enforced in accordance with the laws of the state of Ohio and any action to enforce this agreement shall be brought in the federal or state courts located in Columbus, Ohio.

HIPAA Privacy Agreement

ADDENDUM BUSINESS ASSOCIATE AGREEMENT This HIPAA Business Associate Addendum ("Addendum") by and between Robin Technologies Inc. hereafter called ("Robintek") and the user/member of careplans.com ("Facility") is effective as of the date of the online agreement/electronic signature. RECITALS A. Robintek provides access to the careplans.com, a web-based clinical management software to "Facility" pursuant to an electronic Service Agreement dated this day that virtual/electronic signature agreement is submitted, ("Agreement"). Under the Agreement, Facility discloses certain information to Robintek so that Robintek can perform, on Facility's behalf, certain functions or activities relating to treatment, payment, and/or health care operations of Facility using such information, some of which constitutes Protected Health Information as defined under the Health Insurance Portability and Accountability Act of 1996, Public Law 104491 ("HIPAA"). B. The purpose of this Addendum is to satisfy the standards and requirements of the HIPAA. Regulations. Title 45, Section 164.504(e) of the Code of Federal Regulations ("C.F.R."), that Robintek, as a business associate, provide Facility "satisfactory assurances" that Robintek will deal with Protected Health Information which it receives or creates pursuant to the Agreement in a manner that is compliant with Facility's responsibilities under HIPAA. NOW, THEREFORE, in consideration of the mutual promises below and the exchange of information pursuant to this Addendum, the parties agree that the Agreement is amended, as follows: Definitions. For purposes of this Addendum, the following terms have the following definitions: (a) Business Associate. "Business Associate" shall mean Robintek, to the extent Robintek performs a function or activity for Facility involving the use or creation of Protected Health Information, as defined in 45 C.F.R. 160.103, in the course of providing the services specified in the Agreement. (b) Facility. "Facility" shall mean Facility, to the extent Facility is a Covered Entity under HIPAA with respect to the Agreement. (c) Data Aggregation. "Data Aggregation" shall mean, with respect to the Protected Health Information created or received by Robintek in its capacity as the business associate of Facility, the combining of such Protected Health Information by Robintek with the Protected Health Information received by Robintek in its capacity as a business associate of other covered entities, to permit data analyses that relate to the health care operations of the respective covered entities. (d) Designated Record Set. "Designated Record Set" shall, mean a group of records maintained by or for Facility that is (i) the medical records and billing records about individuals maintained by or for a Facility; (ii) the enrollment, payment, claims adjudication, and case or medical management record systems maintained by or for a health plan; or (iii) records used, in whole or in part by or for Facility to make decisions about individuals. For purposes of this definition, record means any item, collection, or grouping of information that includes Protected Health Information and is maintained, collected, used, or disseminated by or for a Facility. (e) Individual. "Individual" shall have the same meaning as the term "individual" in 45 C.F.R. 164.501 and shall include a person who qualifies as a personal representative in accordance with 45 C.F.R.164.502 (g). (f) Privacy Rule. "Privacy Rule" shall mean the Standards for Privacy of Individually Identifiable Health Information at 45 C.F.R. part 160 and part 164, subparts A and E. (g) Protected Health Information. "Protected Health Information" or "PHI" shall have the same meaning as the term "protected health information" in 45 C.F.R.164.501, limited to the information created or received by Robintek from or on behalf of Facility in the course of providing the PRO-TrackingT4 Performance Measurement System and related services to Facility as specified in the Agreement. (h) Required By Law. "Required By Law" shall have the same meaning as the term "required by law" in 45 C.F.R. 164,501. (i) Secretary. "Secretary" shall mean the Secretary of the Department of Health and Human Services or his/her designee. Permitted Uses and Disclosures of Protected Health Information by Robintek. REPORTS OF IMPROPER USE OR DISCLOSURE Robintek hereby agrees to immediately report to Facility any and all breaches or improper uses or disclosures aside from those permitted in this Agreement or by the Health Insurance Portability and Accountability Act (HIPAA). SAFEGUARDS TO PREVENT IMPROPER DISCLOSURES Robintek agrees to use appropriate safeguards to prevent use or disclosure of the Protected Health Information in any manner other than as provided for by this Agreement and as required by the Health Insurance Portability and Accountability Act. Upon request, Robintek shall allow Facility to review such safeguards and security measures and procedures. MITIGATION PROCEDURES Robintek agrees to mitigate, to the maximum extent practicable, any harmful effect that is known to Business Associate from use or disclosure of information in a manner contrary to terms of this Agreement or according to the Health Insurance Portability and Accountability Act. SUBCONTRACTORS AND AGENTS EMPLOYED BY BUSINESS ASSOCIATE Robintek hereby agrees that any and all information provided or made available to its subcontractors or agents shall be executed under same terms, conditions, and restrictions on use and disclosure of information as agreed upon in this contract between Facility and Business Associate SANCTION PROCEDURES Robintek agrees to develop/implement a punitive course of action for its employees, subcontractors, or agents who violate terms of this contract or privacy regulations under the Health Insurance Portability and Accountability Act. RIGHT TO ACCESS BY THE FEDERAL GOVERNMENT�S DEPARTMENT OF HEALTH AND HUMAN SERVICES Robintek hereby agrees to make its internal practices (including policies and procedures),, books, and records relating to use or disclosure of information gained or received under terms of this Agreement available to the Secretary of the Department of Health and Human Services or the Secretary's designee for purpose of determining compliance with Privacy and Security standards under the Health Insurance Portability and Accountability Act. RIGHTS OF INDIVIDUALS TO ACCESS INFORMATION Robintek hereby agrees to make available and provide individuals the right to inspect and receive a copy of their protected health information in accordance with 45 CFR � 164.524. Robintek agrees to cooperate in making protected health information available to individuals for amendment and agrees to document explicit modifications by the individual in accordance with 45 CFR � 164.526. Robintek agrees to provide an account of protected health information disclosures to an individual in accordance with 45 CFR �. 164.528. Robintek may use the Protected Health Information to create information that is not individually identifiable health information, as permitted by 45 C.F.R. 164.502(d) and 45 C.F.R. 164.514 ("De-identified Information"). Robintek shall own all rights in and to the De-identified Information under copyright and all other applicable laws or legal principles. ELECTRONIC TRANSACTIONS If Robintek conducts any HIPAA Standard Transaction for or on behalf of Facility, Robin Technologies shall comply in accordance with 45 CFR � 162. PROPERTY RIGHTS Shared information, including de-identified protected health information, shall be and remains property of Facility. Robintek agrees that it acquires no title or rights to an individual�s protected health information as a result of this contract. TERMINATION FOR CAUSE This Addendum shall be effective as of the date of the electronic signature below and shall terminate when all of the Protected Health Information provided by Facility to Robintek, or created or received by Robintek on behalf of Facility, is destroyed or returned to Facility. Robintek agrees that Facility has the right to immediately terminate this Agreement and seek relief under Disputes Article if Facility determines that Robintek has violated a material term of this Agreement. RETURN OR DESTRUCTION OF INFORMATION Upon termination of this Agreement for any reason, Robintek hereby agrees to return or destroy all information received or created on behalf of Facility. Robintek agrees not to retain any copies of information after termination of the careplans.com membership, thus the termination of this Agreement. If return or destruction of the information is not feasible, Robintek agrees to extend protections outlined in this Agreement and agrees to limit all further use or disclosure and agrees to provide Facility with written confirmation that the information has been destroyed. COMPLIANCE WITH STATE LAW Robintek acknowledges that by accepting the information from Facility, it becomes a holder of medical records information under the state Privacy laws and is subject to the provisions of that law. If the HIPAA Privacy or Security Rules and the state Privacy law conflict regarding the degree of protection provided for protected health information, Business Associate shall comply with the more restrictive protection requirement. GROUNDS FOR BREACH Non-compliance by Robintek (or any of its subcontractors or agents) with any terms of this Agreement or the Health Insurance Portability and Accountability Act will automatically be considered grounds for breach. INJUNCTIVE RELIEF Notwithstanding any rights or remedies provided for in this contract, Facility retains all rights to seek injunctive relief to prevent or stop unauthorized use or disclosure of information by Robintek or any agent, contractor, or third party that received information from Robintek. GOOD FAITH Parties agree to exercise good faith in performance of this contract. INDEMNIFICATION Both parties shall indemnify the other party and hold it harmless from and against any penalties, losses, claims, damages or liabilities (or actions in respect thereof) to which it may become subject insofar as such penalties, losses, claims, damages or liabilities (or actions in respect thereof) arise out of or are based upon any unauthorized use or disclosure of Protected Health Information. DISPUTES Any controversy or claim arising from or relating to the terms defined under this contract are subject to settlement by compulsory arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except for injunctive relief. ATTORNEY FEES Each party agrees to bear its own legal expenses and any other cost incurred for actions or proceedings brought about by enforcement of this contract, or from an alleged dispute, breach, default, misrepresentation, or injunctive action associated with the provisions of this contract. ASSIGNMENT Neither party has the authority to reassign this agreement without the other�s written consent. ENTIRE AGREEMENT The terms of this Agreement consist of this document and constitute the entire agreement between the stated parties. AMENDMENT Both Parties agree to take such action as is necessary to amend this Agreement from time to time as is necessary for them to comply with the requirements of the Health Insurance Portability and Accountability Act. INTERPRETATION Any ambiguity in this Agreement shall be resolved to permit Facility and Robintek to comply with the Health Insurance Portability and Accountability Act. Miscellaneous (a)Regulatory References. A reference in this Addendum to a section in the Privacy Rule means the section as in effect or as amended, and for which compliance is required. (b)Survival. The respective rights and obligations of Robintek under Section 6(c)(i) and 6(c)(ii) of this Addendum shall survive the termination of the Agreement and this Addendum. (c)Counterparts; Facsimiles. This Addendum may be executed in any number of counterparts, each of which shall be deemed an original. Facsimile copies hereof shall be deemed to be originals. IN WITNESS WHEREOF, Robintek and Facility have duly executed this Addendum as of the dates set by this electronic signature.
