I agree to the terms and conditions outlined in this User Agreement, including the payment terms for the membership plan I have selected. For Plan 1 (Free), no credit card information will be collected, and no charge will be applied. For Plan 2 (One-Time), a non-recurring fee will be charged to my credit card upon subscription. For Plan 3 (Monthly), I acknowledge that my credit card will be charged a recurring monthly fee on the anniversary of my subscription date until I cancel my membership. If you are interested in providing access to the site for co-workers, colleagues, executives, managers, or employees, then you must buy and arrange a group subscription. Failure to comply with the terms of this paragraph shall constitute a breach of this Agreement and may lead to the termination of your account. You are responsible for maintaining the confidentiality of your password and User ID for your individual subscription. You are expected to notify info@careplans.com of any known or suspected unauthorized use(s) of your account or any loss, theft, or unauthorized disclosure of your password or credit card information (applicable to Plans 2, 3, and 4). You are responsible for all usage or activity on Careplans.com. Any fraudulent, abusive, or otherwise illegal activity may be grounds for immediate termination of your online subscription, and Careplans LLC may refer you to appropriate law enforcement agencies. Fees and payments. Careplans LLC offers four membership plans for access to Careplans.com: - Plan 1 (Free): No credit card information is collected, and no charge is applied. - Plan 2 (One-Time): A non-recurring fee is charged to your credit card upon subscription. - Plan 3 (Monthly): A recurring monthly fee is charged to your credit card on the anniversary of your subscription date until you cancel your membership. - Plan 4 (Annual): A recurring annual fee is charged to your credit card on the anniversary of your subscription date until you cancel your membership. Careplans LLC reserves the right to alter and adjust membership plans as necessary, including changes to fees, plan structures, or availability, with prior notice to subscribers where applicable. You will not be charged for access to Careplans.com unless you have selected Plan 2, Plan 3, or Plan 4 and provided valid credit card information and prior agreement to pay such charges. You shall pay all fees and charges incurred through your account at the time of registration (for Plan 2) or on the subscription anniversary date (for Plans 3 and 4) at the rates in effect for the billing period in which such fees and charges are incurred. You shall pay all applicable taxes relating to the use of our site through your account. All returned credit card charges incur a $20 return handling fee. Termination. You may terminate your account at any time by communicating with Careplans LLC at info@careplans.com. Upon notification, your access will be suspended within 24 hours. You are responsible for all charges incurred up to the time the account is terminated. Exercising its sole discretion, Careplans LLC may terminate or suspend your access to all or part of the website for any reason, without limitation, breach, or assignment of this Agreement. Miscellaneous. This Agreement is made, construed, and enforced in accordance with the laws of the state of Ohio, and any action to enforce this agreement shall be brought in the federal or state courts located in Columbus, Ohio.

HIPAA Privacy Agreement

GENERAL HIPAA AGREEMENT Effective Date: May 20, 2025 This General HIPAA Agreement (Agreement) governs your use of Careplans.com, operated by Careplans LLC (Careplans), a business associate under the Health Insurance Portability and Accountability Act of 1996, as amended (HIPAA). By agreeing to this Agreement during signup, you accept the terms below, including your responsibilities to protect Protected Health Information (PHI) in compliance with HIPAA's Privacy, Security, and Breach Notification Rules (45 CFR Parts 160 and 164). 1. Purpose and Scope This Agreement outlines Careplans' commitment to HIPAA compliance and your obligations when using Careplans.com, particularly regarding PHI. PHI is any individually identifiable health information, as defined in 45 CFR 160.103, that you may access, create, or handle through our services. This Agreement applies to all users, including those on Free, One-Time, Monthly, or Annual membership plans, whether or not you are a covered entity under HIPAA. 2. Careplans' HIPAA Obligations As a business associate, Careplans: a. Implements administrative, physical, and technical safeguards, including encryption and access controls, to protect electronic PHI (ePHI), per the Security Rule (45 CFR Part 164, Subpart C). b. Limits uses and disclosures of PHI to the minimum necessary, per the Privacy Rule (45 CFR Part 164, Subpart E). c. Reports breaches of unsecured PHI to affected individuals, the U.S. Department of Health and Human Services, and, where applicable, covered entities or the media, per the Breach Notification Rule (45 CFR Part 160 and Subpart D of Part 164). d. Requires any subcontractors handling PHI to agree to the same HIPAA protections. e. Makes PHI available for access, amendment, or accounting of disclosures upon request, as required by 45 CFR 164.524, 164.526, and 164.528, if applicable to your account. 3. User Responsibilities You agree to: a. Comply with HIPAA when accessing, downloading, or handling PHI through Careplans.com, including safeguarding PHI against unauthorized use or disclosure. b. Not upload, post, or disclose PHI in public forums, bulletin boards, or discussions on Careplans.com, as such actions may violate HIPAA and result in immediate account termination. c. Maintain the confidentiality of your User ID and password, as specified in the Careplans User Agreement, and notify info@careplans.com immediately of any unauthorized use of your account. d. Exercise professional judgment to ensure the suitability of clinical content on Careplans.com for your clients, recognizing that Careplans provides content as suggestions only. e. Notify Careplans at info@careplans.com if you believe any PHI has been improperly accessed, used, or disclosed through our services. 4. Business Associate Agreement (BAA) for Covered Entities If you are a covered entity (e.g., a healthcare provider or health plan) or a representative acting on behalf of a covered entity, you must execute a separate Business Associate Agreement (BAA) with Careplans before accessing or handling PHI through Careplans.com. The BAA is a mandatory contract under 45 CFR 164.504(e) and governs Careplans' handling of PHI on your behalf. To obtain a BAA, contact info@careplans.com. Failure to execute a BAA may limit your access to PHI-related features and could result in non-compliance with HIPAA. 5. No PHI for Non-Covered Entities If you are not a covered entity or not handling PHI on behalf of a covered entity (e.g., using Careplans.com for non-PHI purposes), you agree not to introduce PHI into the platform unless you have executed a BAA with Careplans. This includes avoiding PHI in forums, downloads, or other interactions. 6. Breach Notification If Careplans becomes aware of a breach of unsecured PHI, we will notify affected parties and authorities as required by HIPAA. You agree to cooperate with Careplans in investigating and mitigating any breach, including providing information about your use of PHI on Careplans.com. 7. Termination and Data Handling Upon termination of your account, as described in the Careplans User Agreement, Careplans will securely delete any PHI associated with your account, unless required to retain it under applicable law or a BAA. If you are a covered entity with a BAA, PHI will be handled as specified in that agreement. 8. Limitation of Liability Careplans uses reasonable efforts to ensure HIPAA compliance but is not liable for your failure to comply with HIPAA, including improper disclosure of PHI in forums or misuse of clinical content. You indemnify and hold harmless Careplans and its officers, directors, and agents from claims arising from your breach of this Agreement or HIPAA violations, as detailed in the Careplans User Agreement. 9. Privacy Policy Careplans' handling of PHI and personal data is further detailed in our HIPAA-compliant Privacy Policy, available at [insert URL]. You agree to review the Privacy Policy to understand our data practices. 10. Contact Information For questions about this Agreement, to report unauthorized PHI disclosures, or to request a BAA, contact Careplans at info@careplans.com. 11. Governing Law This Agreement is governed by federal law, including HIPAA, and, to the extent not preempted, the laws of the State of Ohio. By agreeing to this Agreement, you acknowledge your responsibilities under HIPAA, agree to comply with this Agreement, and understand that covered entities must execute a separate BAA to handle PHI through Careplans.com.
